These Sales Terms & Conditions (“Terms”) govern your purchase and use of any digital product, program, or material (collectively, the “Program”) offered by BizKing.AI, a division of Shox Global LLC (“Company,” “we,” “us,” or “our”). Please read them carefully before purchasing or using the Program.

1. Agreement to Terms

By purchasing, accessing, or using any Program from BizKing.AI, you (“you,” “your,” or “User”) agree to be legally bound by these Terms. If you do not agree, do not complete your purchase or access the Program.

You must be at least 18 years of age to purchase or use the Program. By purchasing, you represent and warrant that you meet this age requirement.

2. Digital Delivery & Access

All BizKing.AI Programs are delivered digitally. Access is granted to the email address you provide at checkout via email, download, login credentials, or other means.

You are solely responsible for maintaining the confidentiality of your login credentials, and for all activities that occur under your account. If you use the Program on behalf of a business or organization, you represent that you are authorized to bind that entity.

3. Digital Product Policy – All Sales Final

Due to the immediate and digital nature of our products, all sales are final. Once access is granted, the Program cannot be returned, revoked, or “undelivered.”

We do not offer:

Refunds

Cancellations

Chargebacks

Credits

Exception: If a Program is not delivered due to a verified technical issue on our end, and we are unable to provide access within 72 hours after at least two good-faith attempts to resolve the issue, we may issue a refund or replacement at our sole discretion.

4. License & Intellectual Property

All Program content is the exclusive property of Shox Global LLC and is protected by U.S. and international intellectual property laws.

Upon purchase, you receive a limited, personal, non-transferable, non-sublicensable, non-exclusive license to access and use the Program for your individual professional use.

Strictly Prohibited Without Exception:

Copying, downloading, recording, or redistributing any portion of the Program

Sharing login credentials or providing access to others

Group viewings, internal watch parties, or public/private broadcasts

Reselling, sublicensing, repackaging, or monetizing the content

Uploading to public or private repositories or cloud systems

Using Program content (text, video, prompts, frameworks, or materials) to:

Train, fine-tune, or develop any AI or ML model

Input into AI training datasets

Create derivative AI tools or products

Reverse-engineer or extract content for AI use

Each license is for one individual user. Multi-user access requires a separate team license in writing.

5. Permitted Professional Use

You may use the knowledge, strategies, prompts, and systems learned in the Program to support your business or serve clients.

You May:

Apply concepts in client-facing work

Use training to deliver results or services

Implement frameworks in your or your client’s business

You May Not:

Share, resell, or distribute Program content

Provide clients direct access to the Program

Rebrand or claim the Program as your own intellectual property

Your license grants use of the knowledge, not redistribution of the materials.

6. Program Updates

Your purchase includes free access to future updates made to the Program you purchased, for as long as it is actively maintained by BizKing.AI.

This does not include:

Separate programs, products, or tiers

One-on-one services

Upgrades to new offerings

We may change how updates are structured or delivered while maintaining core program value.

7. Educational Use Only – No Guarantees

All Programs are for educational and informational purposes only.

We make no guarantees regarding:

Income, client acquisition, or business outcomes

Financial or performance results of any kind

Success depends on individual skill, implementation, and external factors. Testimonials reflect personal experiences and are not guarantees.

8. Third-Party AI Platforms Disclaimer

BizKing.AI is not affiliated with or responsible for third-party platforms or tools you may use alongside the Program.

We are not liable for:

Platform or API changes

Price changes or feature removals

Accuracy or performance of third-party AI outputs

9. User Content

If you submit, upload, or transmit any content to BizKing.AI in connection with your use of the Program (“User Content”), you retain ownership of that content. However, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable license to use, display, reproduce, adapt, distribute, or otherwise exploit such content in connection with delivering or promoting the Program.

You represent and warrant that:

You own or have full rights to all User Content you submit

The content does not infringe on any third-party intellectual property, privacy, or publicity rights

The content is not defamatory, illegal, or otherwise in violation of the law

We reserve the right (but not the obligation) to monitor, review, remove, or restrict any User Content at our discretion.

10. Feedback

If you submit feedback, suggestions, or ideas related to the Program, you agree that we may use such feedback without restriction, compensation, or attribution. All feedback becomes the sole property of BizKing.AI and may be used to improve or market our products and services.

11. Limitation of Liability

The Program is provided “as is” and “as available.”

To the fullest extent allowed by law:

All warranties, express or implied, are disclaimed

Shox Global LLC is not liable for direct, indirect, incidental, or consequential damages

Total liability is limited to the amount paid for the Program

You accept full responsibility for your use of the Program.

12. Indemnification

You agree to indemnify and hold harmless Shox Global LLC and its affiliates, employees, agents, and contractors from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your:

Violation of these Terms

Misuse of the Program

Infringement of third-party rights

13. Termination for Misuse

We may terminate your access to the Program immediately and without refund if you violate these Terms, including but not limited to:

Unauthorized sharing or reproduction

Use in violation of our intellectual property rights

14. Copyright Infringement & DMCA Compliance

We respect intellectual property laws and comply with the U.S. DMCA.

If you believe any Program content infringes your copyright, contact us at [email protected] with:

A description of the copyrighted work

The URL or location of the material

Your contact details and a good-faith belief that the use is unauthorized

A sworn statement that you are the copyright owner or authorized to act on their behalf

Repeat infringers may be removed without notice or refund.

15. Data Collection & Privacy

We collect personal information, including name, email address, payment information, and usage data, to:

Deliver and administer the Program

Communicate with users

Improve user experience

Enforce license and usage restrictions

Payment information is processed by third-party payment processors such as Stripe, Inc. and is subject to their respective privacy policies. BizKing.AI does not store full credit card numbers.

We implement reasonable security measures but cannot guarantee absolute protection. You are responsible for safeguarding your login credentials.

You may request access, correction, restriction, portability, or deletion of your personal data, subject to contractual and legal limitations. Requests may be submitted to [email protected].

15.1 Order of Precedence

In the event of any conflict between these Terms & Conditions and the Privacy Policy:

These Terms control with respect to contractual, licensing, payment, and usage matters

The Privacy Policy controls with respect to data handling and privacy practices

15.2 Privacy Policy Incorporation

Our Privacy Policy is incorporated into these Terms by reference and forms part of your agreement with BizKing.AI and Shox Global LLC.

16. Force Majeure

We are not liable for failure to deliver the Program due to circumstances beyond our control, including but not limited to:

Natural disasters

Platform or server outages

Cyberattacks

Government restrictions or emergencies

We will make reasonable efforts to restore access but are not obligated to offer refunds or compensation.

17. Compliance with Laws

You agree to comply with all applicable laws and regulations, including U.S. export control laws, in connection with your access to and use of the Program. Access from jurisdictions where the Program is unlawful is prohibited.

18. Governing Law

These Terms are governed by and construed under the laws of the State of New York, United States, without regard to conflict-of-law principles.

19. Dispute Resolution & Arbitration

If a dispute arises, you agree to first attempt informal resolution by contacting us at [email protected].

If unresolved within 30 days, both parties agree to binding arbitration in New York, NY, under the rules of the American Arbitration Association.

No Class Actions:
You agree to resolve disputes only in your individual capacity. Class actions, collective arbitrations, or representative claims are strictly prohibited.

20. Modifications to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page and become effective immediately. Your continued use of the Program signifies acceptance of the revised Terms.

21. Non-Transferability

Your license is personal to you. You may not assign, transfer, or resell your access to the Program without prior written consent.

22. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed, and the remainder shall remain in full force and effect.

23. Acceptance

By completing your purchase, you confirm that you have read, understood, and agreed to these Terms in full.
